The Irish ProShare Association

The Irish ProShare Association is a voluntary body comprised of like-minded individuals who are a passionate about employee ownership and employee financial involvement.

The Association is governed by an Executive Council which draws its expertise from the legal, accountancy, and financial professions as well as those who work day in day out managing share options schemes for both private and public companies operating in Ireland.

Marie Flynn

Tax Director, PwC & Chairperson of IPSA

Marie is a tax director in the private client team of PwC Dublin with over twenty years’ experience in UK and Irish taxation, both in practice and with HMRC in the UK. She specialises primarily in advising management teams on all aspects of share incentivisation (including share valuations) and high net worth individuals/families and partnerships on a variety of planning/structuring projects.
Marie is a member of both the Irish and UK Institutes of Tax and has written articles and presented in Ireland and the UK on a variety of topics including management incentivisation, tax issues for non-domiciled individuals, professional partnerships, real estate etc.
Marie is a member of the PwC European Management Shareholder Network and the PwC International Private Wealth Network. Marie is also the current Chairperson of the Irish Pro-Share Association.

Peter O' Connor

Share Scheme Consultant, Mercer & Vice Chairperson of IPSA

Peter O’Connor is a consultant in the Share Schemes department in Mercer based predominantly in Cork. Peter joined Mercer in 2016.
Prior to joining Mercer, Peter worked with EY Dublin in their People Advisory Services tax department. Peter has over 15 years’ experience providing tax advice regarding global mobility and advisory, international social security and global employment tax services including advising on the Irish tax treatment of share and stock option plans/schemes.

Peter has a degree in Government and Public Policy from University College Cork and is a Chartered Tax Advisor with the Irish Tax Institute. He is currently Vice Chairperson of the Irish Pro-Share Association.

Eleanor Cunningham

Partner, Pensions and Incentives McCann FitzGerald

Eleanor is a Partner in the Pensions & Incentives Group in McCann FitzGerald. She is responsible for advising financial institutions, semi-state bodies, companies, trustees, committees and employees on various pension plans, employee share plans and other incentive plans. Her practice includes advising international and domestic clients in both the private and public sectors. Relevant experience includes advising on a range of pension issues including the establishment, governance, amendment and day to day administration of defined contribution schemes and the impact of pensions and other relevant legislation regarding DC schemes and their operation. Eleanor also advises on defined benefit scheme including issues such as restructuring, liability management exercises, benefit design, trustee governance, scheme amendments, dealing with funding deficits and funding proposals, mergers, and scheme wind-ups. Eleanor advises on both Revenue approved tax efficient employee shares schemes and on unapproved employee share schemes and other incentive plans.

Eleanor lectures on the Law Society of Ireland’s Certificate in Applied Pensions Law and Trusteeship. She is Chairman of the Association of Pension Lawyers in Ireland and Chair of its Pensions Sub-Committee. Eleanor also sits on the IAPF’s DC Sub-Committee, and is a member of the UK Association of Pension Lawyers.

Sarah Conry

Tax Director, Deloitte

Sarah Conry is a director with the Global Employer Services (GES) group in Deloitte. She advises a wide range of multinationals in relation to their global mobility and compensation strategies. Sarah has extensive experience in the design and implementation of appropriate policies which support an organisation’s overall corporate strategy including mobility and compensation strategies. She advises on tax effective employee remuneration and the design and implementation of executive and employee shares schemes in public and private companies. Sarah has worked closely with companies to support them with their share scheme reporting obligations and overall compliance. Sarah is a Chartered Accountant and an Associate of the Irish Taxation Institute.

Darren Smith

Head of Business Development, UK and Ireland, Global Shares – a J.P. Morgan company

Darren has worked in the share plans industry for more than 20 years. During this time, he has worked across all operational teams including management, relationship management and most recently, business development. Darren is a regular industry host and speaker on topics including share plans, financial education and financial wellbeing, bringing a fun and engaging style to events. Prior to joining Global Shares as Business Development Director, he held the position of UK National Sales Manager at YBS.

Gillian Dully

Associate Solicitor, LK Shields

Gillian advises on corporate and commercial law to include mergers and acquisitions, joint ventures, shareholders agreements and various other commercial matters.
Gillian qualified as a solicitor in 2003 and is an Associate Solicitor in the Corporate and Commercial Department. In addition to advising on a range of general corporate and commercial matters, Gillian has considerable experience in advising on pensions, employee benefits and employment law in the context of corporate transactions. She is a member of the Council of the Association of Pension Lawyers in Ireland. Gillian’s approach is to assist clients in achieving a practical solution and guiding them through the process.

Owen Coyle

Tax Director, EY Dublin

Owen is a Tax Director at EY Ireland. He has impactfully contributed to discussions on employment taxes and mobility. Prior to joining EY, Owen worked for another Big Four firm where he progressed from a Senior Consultant to a Director. Owen earned his bachelor’s degree in Business and Legal Studies, and his master’s degree in Accounting from University College Dublin. He is a member of the Chartered Accountants Ireland and has a Chartered Tax Advisor qualification from the Irish Tax Institute.

Marie Lenihan

Associate Director, Computershare

Marie has over 15 years’ experience in Share Plans. Marie is currently responsible for the Computershare Share Plans Team, in Ireland who manage a large portfolio of clients including many FTSE100 and major multi-national companies as well as locally established companies in financial services, pharmaceutical and manufacturing sectors which gives her a great understanding of client requirements across both approved and unapproved share plans. Over the years, Marie has been involved in all aspects of share plans including operations, corporate actions, business development and project management giving her a wealth of experience in managing complex share plans.

Rosaleen Boyle

Senior Advisor, A&L Goodbody

Rosaleen Boyle is A&L Goodbody's Incentives specialist. Rosaleen advises on all aspects of employee share incentives, in particular the regulatory, tax and legal implications of various share based incentives for companies, and on the establishment and operation of Revenue approved and unapproved plans. She also supervises the firm's trust and administration services for share incentives operated by clients in Ireland.
Rosaleen has over 20 years' experience in the Irish market and works with both private and listed Irish companies, as well as multinational companies, on the design and implementation of all types of Revenue approved and non-tax approved plans. She also advises regularly on the share incentive aspects of corporate transactions.
Rosaleen has presented at a number of conferences both in Ireland and abroad on the topic of employee share incentives, often in conjunction with the Irish ProShare Association and the Global Equity Organisation (an international non-profit forum for equity professionals), of which she is the Dublin Chapter co-ordinator.

Claire Oliver

Group HR Manager, Dalata Hotel Group

Claire is the Group HR Manager for Dalata Hotel Group, Ireland's largest hotel operator, growing rapidly in the UK with a presence in continental Europe. She leads people strategy delivery across the group, fostering an excellent employee experience aligned with Dalata's values and culture for c. 5000 colleagues. This extends to employee relations, engagement and wellbeing, remuneration and benefits and HR operations. She has over 15 years’ generalist HR experience and is a passionate advocate for the benefits of promoting employee share ownership for attraction and retention of talent. Claire graduated from NCI with a (BA) Honours degree in Human Resource Management.

Thalia O'Toole

Principal Tax, KPMG

Thalia is a Principal in KPMG’s tax practice and has over 15 years’ experience advising on all aspects of Irish employment tax, global mobility and rewards. She has significant experience in advising on the design, implementation and review of employee incentive arrangements for private Irish business and listed companies.
She leads the global mobility practice for KPMG in Ireland and chaired the international tax training for KPMG International for EMEA Global Mobility Tax professionals for several years in tandem with the KPMG International Business School.
Thalia is a member of the Irish Tax Institute and sat on the Editorial Board of the Irish Tax Review, the academic and technical journal for members of the Irish Tax Institute. She lectures on behalf of the Irish Tax Institute, most notably on pension, equity remuneration and employment tax matters.
