The Irish ProShare Association

The Irish ProShare Association is a voluntary body comprised of like-minded individuals who are a passionate about employee ownership and employee financial involvement.

The Association is governed by an Executive Council which draws its expertise from the legal, accountancy, and financial professions as well as those who work day in day out managing share options schemes for both private and public companies operating in Ireland.

Eleanor Cunningham

Partner, Pensions and Incentives McCann FitzGerald & Chairperson of IPSA

Eleanor is a Partner in the Pensions & Incentives Group in McCann FitzGerald. She is responsible for advising financial institutions, semi-state bodies, companies, trustees, committees and employees on various pension plans, employee share plans and other incentive plans. Her practice includes advising international and domestic clients in both the private and public sectors. Relevant experience includes advising on a range of pension issues including the establishment, governance, amendment and day to day administration of defined contribution schemes and the impact of pensions and other relevant legislation regarding DC schemes and their operation. Eleanor also advises on defined benefit scheme including issues such as restructuring, liability management exercises, benefit design, trustee governance, scheme amendments, dealing with funding deficits and funding proposals, mergers, and scheme wind-ups. Eleanor advises on both Revenue approved tax efficient employee shares schemes and on unapproved employee share schemes and other incentive plans.

Eleanor lectures on the Law Society of Ireland’s Certificate in Applied Pensions Law and Trusteeship. She is Chairman of the Association of Pension Lawyers in Ireland and Vice Chair of the Irish ProShare Association and Chair of its Pensions Sub-Committee. Eleanor also sits on the IAPF’s DC Sub-Committee, and is a member of the UK Association of Pension Lawyers.

Gemma Jacobsen

Director, KPMG & Vice Chair of IPSA

Gemma is a Taxation Director within KPMG. She has more than 20 years’ experience advising on employer and employee taxes. In particular, Gemma advises on tax effective employee remuneration, compensation and benefits, and the design, drafting and implementation of all employee and executive share incentive schemes. She is a key member of the IPSA policy team working with the IPSA Private Companies sub-committee and the Department of Finance to introduce share-based remuneration for SMEs. Gemma is an Associate of the Irish Taxation Institute and has been an IPSA Council member since 2005.

Keavy Ryan

Partner, A&L Goodbody & Chair of IPSA Advocacy Sub-Committee

Keavy was appointed Joint-Chairperson of the IPSA in April 2014 and jointly manages the A&L Goodbody’s equity benefits group. Keavy advises on all aspects of share and option incentives, including both Revenue approved and unapproved plans, the treatment of share incentives in M&A transactions and corporate governance, regulatory and shareholder issues arising from the establishment and operation of share plans and executive remuneration programs.

Sarah Conry

Sarah Conry is a director within the Global Employer Services (GES) Group. She currently advises a wide range of multinationals in relation to their global mobility functions and compensation strategies. Sarah has extensive experience in the design and implementation of appropriate policies which support an organisation's overall corporate strategy, compensation structuring and the design and implementation of tax effective reward strategies.

Seán Quill

Managing Director, Sean Quill Consulting

With over 20 years’ experience in the industry, Seán is renowned as one of the leading experts in the design and implementation of employee share plans in Ireland. Seán is a Chartered Tax Advisor (“CTA”) and a Chartered Secretary (“ACIS”) and is a Council Member of the Irish ProShare Association (“IPSA”).
Seán set up Seán Quill Consultancy Limited in 2018 which provides consultancy services to firms assisting in the design, implementation and review of their employee share plans. Before setting up his own company, Seán had over twenty years’ experience with Accountancy and Consultancy firms including as Managing Director – Ireland for Global Shares Ireland Limited, Market Business Leader for Talent Ireland with Mercer and having acted as a taxation manager for one of the top four accountancy firms earlier in his career.

Nigel Derrick

Client Services Director, Computershare

Nigel has more than 28 years’ experience in equity compensation. Based in Dublin, Nigel is an active member of the Irish share plan community, using his experience in stakeholder engagement to support organisations including IPSA (member of Council), with the objective of making employee participation relevant to every generation across Ireland. Nigel’s experience encompasses all the different aspects of employee share plan and share registry services – from operations, corporate actions, business planning, project management and product development to relationship management. Nigel has been responsible for Computershare’s relationship with numerous clients, including many FTSE 100 and major multi-national companies.

Owen Coyle

Tax Director, EY Dublin

Owen is a Tax Director at EY Ireland. He has impactfully contributed to discussions on employment taxes and mobility. Prior to joining EY, Owen worked for another Big Four firm where he progressed from a Senior Consultant to a Director. Owen earned his bachelor’s degree in Business and Legal Studies, and his master’s degree in Accounting from University College Dublin. He is a member of the Chartered Accountants Ireland and has a Chartered Tax Advisor qualification from the Irish Tax Institute.

Gillian Dully

Associate Solicitor, LK Shields

Gillian advises on corporate and commercial law to include mergers and acquisitions, joint ventures, shareholders agreements and various other commercial matters.
Gillian qualified as a solicitor in 2003 and is an Associate Solicitor in the Corporate and Commercial Department. In addition to advising on a range of general corporate and commercial matters, Gillian has considerable experience in advising on pensions, employee benefits and employment law in the context of corporate transactions. She is a member of the Council of the Association of Pension Lawyers in Ireland. Gillian’s approach is to assist clients in achieving a practical solution and guiding them through the process.

Marie Flynn

Tax Director, PwC

Marie is a tax director in the private client team of PwC Dublin with over twenty years’ experience in UK and Irish taxation, both in practice and with HMRC in the UK. She specialises primarily in advising management teams on all aspects of share incentivisation (including share valuations) and high net worth individuals/families and partnerships on a variety of planning/structuring projects.
Marie is a member of both the Irish and UK Institutes of Tax and has written articles and presented in Ireland and the UK on a variety of topics including management incentivisation, tax issues for non-domiciled individuals, professional partnerships, real estate etc.
Marie is a member of the PwC European Management Shareholder Network and the PwC International Private Wealth Network. Marie is also an active council member of the Irish Pro-Share Association.

Darren Smith

Corporate Relationships Manager, YBS Share Plans

Darren is Corporate Relationships Manager at YBS Share Plans, responsible for building and maintaining relationships with a diverse range of advisors, clients and prospects. He regularly hosts and speaks at industry events and was approached by GEO to help organise the UK Chapter events in 2019. He also acts in a consultancy capacity sharing industry insight and best practice that add value to client share plans and helps inform and influence their decision making process. He works closely with both the Growth and Acquisition, Client Experience and YBSSP Operational Teams, to ensure processes and procedures are aligned with both existing and future client requirements and future expectations.
Darren began his career with YBSSP in 1999, in the Call Centre, before moving into the operational side of the business. This helped him build a thorough understanding of process. In 2001 Darren became part of the team that built and delivered the YBSSP Share Incentive Plan offering to market, playing a key role in the development of system and support services. Darren moved to become a YBSSP Relationship Manager in 2003, managing key share plan accounts such as John Lewis, Diageo, Kier, Greggs and Halfords, as well as assisting the Growth & Acquisition Team acquire and on-board new clients. As a result of his work with the Growth & Acquisition team he became the Corporate Relationships Manager in 2018.
Darren successfully passed and received the ICSA Certificate for share plans in 2016 and in his spare time Darren is better known for dressing up and bringing fun to sporting events as a professional mascot for Yorkshire Vikings cricket team.

Peter O' Connor

Share Scheme Consultant, Mercer

Peter O’Connor is a consultant in the Share Schemes department in Mercer based predominantly in Cork. Peter joined Mercer in 2016.
Prior to joining Mercer, Peter worked with EY Dublin in their People Advisory Services tax department. Peter has over 13 years’ experience providing tax advice regarding global mobility and advisory, international social security and global employment tax services including advising on the Irish tax treatment of share and stock option plans/schemes.

Peter has a degree in Government and Public Policy from University College Cork and is a Chartered Tax Advisor with the Irish Tax Institute.
